Effective: April 22, 2023
This License Agreement (the “Agreement”) is made and entered into between Ink in Style (the “Licensor”), and You (the “Licensee”). This Agreement sets forth the terms and conditions under which the Licensor grants the Licensee a license to use certain images (the “Images”).
Grant of License
The Licensor grants to the Licensee a non-exclusive, non-transferable, worldwide license to use the Images for personal, non-commercial use only. The Licensee may not resell, sublicense, redistribute or otherwise make the Images available to any third party without the express written consent of the Licensor.
Permitted Uses
The Licensee may use the Images in any personal, non-commercial project, including but not limited to, personal blogs, social media, or personal websites. The Licensee may also print and display the Images in their home or office, or give printed copies of the Images as gifts to friends or family.
Restrictions
The Licensee may not use the Images for any commercial purposes, including but not limited to, advertising, marketing, or any other promotional materials. The Licensee may not use the Images in any way that is defamatory, obscene, or unlawful.
Ownership
The Licensor retains all rights, title, and interest in and to the Images, including all copyrights and other intellectual property rights. The Licensee may not claim ownership of the Images or any derivative works created from the Images.
Termination
This Agreement may be terminated by the Licensor at any time in the event of a breach by the Licensee of any of the terms and conditions of this Agreement. Upon termination, the Licensee shall immediately cease all use of the Images and destroy all copies of the Images in their possession.
Warranty and Liability
The Licensor warrants that it has the right to grant the license to use the Images to the Licensee. The Licensor makes no warranties, express or implied, with respect to the Images, including but not limited to, any warranties of merchantability or fitness for a particular purpose. The Licensor shall not be liable for any damages arising out of the use or inability to use the Images.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Ontario. Any disputes arising out of this Agreement shall be resolved in the courts of Ontario.
Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
Acknowledgement
By downloading, purchasing or otherwise obtaining the Images from the Licensor’s website, the Licensee acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
